Prepared on 21 October 2026. The effective date for sales will be set when sales begin. This is an English translation of the Czech-law draft, not a set of terms adapted to English-speaking jurisdictions.
1. Seller and contact details
EquipaID s.r.o., company ID 09456660, VAT ID CZ09456660, registered office: Na Palouku 464/2, Lhotka, 725 28 Ostrava, Czech Republic; registered with the Regional Court in Ostrava, section C, file 83144 (the “seller”).
Project website: www.videye.eu. Planned email: info@videye.eu. Until it is activated, use info@zrakshop.cz, +420 731 199 735 (Jakub Kachel) or +420 771 171 073 (Jiří Špacír). Written notices may be sent to the registered office.
2. Scope
These terms are prepared for future distance sales of VidEye products. A consumer is an individual acting outside their business or profession. A business customer acts in the course of business. Providing a company ID alone does not exclude consumer status; the purpose of the purchase is decisive.
Consumer contracts are governed in particular by Czech Act No. 89/2012 Coll., the Civil Code, and Act No. 634/1992 Coll., on consumer protection, as in force. Individual agreements take precedence but cannot restrict mandatory consumer rights. Business distribution is covered by section 10 and a separate agreement.
Items marked “in development”, illustrative scenarios and concept images describe a planned project, not an offer of available goods. This does not remove responsibility for accurate information or agreed characteristics in a future contract.
3. Enquiries and contracts
The “Interested in distribution” form is a non-binding request to discuss cooperation. It creates no payment obligation, reservation, exclusivity or entitlement to a contract. An automated enquiry acknowledgement is not acceptance of an order.
Sales may begin only after the availability of a specific product and the ordering process have been announced. An individual offer will specify the product or service, price, availability, costs, technical requirements and validity period. The buyer can check and correct the details. A contract is formed only when a specific binding offer is accepted as stated in that offer.
All legally required information will be provided before a consumer contract is concluded. Confirmation, the contract, applicable terms and withdrawal information will be provided on a durable medium, such as email. Contracts are in Czech unless another language is expressly agreed. Records are kept as necessary for performance and legal obligations.
Any future checkout must clearly identify the step creating a payment obligation and allow the details to be checked beforehand. Telephone offers to consumers will be confirmed in text form; consumers are bound only after subsequent electronic consent or signature.
4. Prices, payment and subscriptions
Consumer prices will include VAT, mandatory fees and delivery costs. Where a cost cannot be calculated in advance, its calculation method and the fact it may arise will be disclosed before the contract. Optional additional payments require express consent; no preselected paid extras will be used.
Payment method, due date, deposits and delivery options will be specified in the offer before acceptance. This website currently collects no payments. The relevant receipt or invoice will be issued. Customers pay ordinary connection costs under their own tariffs; we charge no special fee for communication.
If an online version involves recurring charges, the amount, billing period, commitment, renewal and termination procedure and deadlines will be expressly stated before agreement. An enquiry or purchase of glasses does not by itself create an undisclosed subscription. Future price or contract changes must respect statutory rights.
5. Delivery
Goods will be delivered as agreed. Unless otherwise agreed with a consumer, delivery will be without undue delay and within 30 days of the contract. In the event of delay, the consumer retains statutory remedies, including withdrawal after an appropriate additional deadline, or without one where the law permits.
Risk normally passes when the consumer or their designated person other than the carrier receives the goods. Statutory exceptions apply, including selection of a carrier we did not offer. Documenting visible shipping damage is recommended but failure to inspect on delivery does not restrict claims.
Agreed accessories and clear instructions will be supplied. Information and support will take account of blind and partially sighted customers. Accessible document formats may be requested during contract discussions.
6. Software, online services and updates
Before agreement, we will state whether digital functionality forms part of goods with digital elements or is a separate service or content. Functionality, compatibility, interoperability, languages, equipment and connection requirements, support duration and restrictions will be specified. Offline and online versions are not automatically interchangeable.
We will provide agreed updates and updates, including security updates, legally necessary to maintain conformity, with information about availability and installation. For one-off supplies the statutory period depends on the product’s nature, purpose and reasonable expectations; it cannot automatically be limited to two years.
Liability for a defect caused solely by not installing a properly supplied update is excluded only under statutory conditions, including information about installation and consequences and the absence of defective instructions. Software rights and licence terms will be disclosed before agreement and must respect statutory rights.
Changes to continuously supplied digital services beyond maintaining conformity require a contractual basis and valid reason, must impose no extra cost and must be clearly communicated. Applicable termination rights will be preserved when access or use is adversely affected.
7. Consumer withdrawal
For ordinary distance purchases of goods, consumers may withdraw without giving a reason within 14 days of receipt. For multiple goods in one order delivered separately or in parts, the period starts with the last item or part; for regular deliveries, with the first. For a separate service or digital content, it generally starts when the contract is concluded. Special statutory periods, including 30 days for an organised sales event or unsolicited home visit, remain unaffected.
If withdrawal information was not properly provided, the period is extended under the law by up to one year. If information is supplied during that extension, the applicable withdrawal period starts on receipt of that information.
Sending an unambiguous withdrawal notice to the seller’s contact details within the period is sufficient. The form below is optional. Goods must be returned without undue delay, within 14 days of withdrawal; timely dispatch meets the deadline.
We will refund payments, including the cost of the cheapest standard delivery we offered, within 14 days of the withdrawal notice, using the same payment method unless otherwise agreed without extra cost. For goods, we may wait for their return or proof of dispatch, whichever occurs first, unless we offered collection.
Consumers bear direct return costs only if properly informed before the contract. For goods not normally returnable by post, the relevant cost will also be disclosed in advance. Original packaging is not a condition of withdrawal. Consumers are liable only for diminished value caused by handling beyond what is necessary to establish the goods’ nature, characteristics and functioning, subject to statutory conditions.
Exceptions apply only within section 1837 of the Czech Civil Code, not automatically because an item is glasses or an assistive aid. Choosing a standard offered variant alone does not make it custom-made.
Separate paid digital content will not be made available during the withdrawal period without prior express consent and acknowledgement of the loss of withdrawal rights under statutory conditions. A separate service will start early only on express request; any charge on withdrawal is limited to the legally permitted proportion. Withdrawal rights for a paid service may end on full performance only with the required prior express consent and information. Rights remain until an exception’s conditions are met. These rules do not automatically remove the right to return complete goods with digital elements.
8. Defects and complaints about goods
We are responsible for conformity, agreed and legally expected characteristics, quantity, accessories, safety and instructions. Consumers may report a defect appearing within two years of receipt. A defect appearing within one year is presumed to have existed at receipt unless incompatible with the nature of the goods or defect. For a justified claim, the relevant period is suspended while the consumer cannot use the item.
Consumers may choose repair or replacement unless impossible or disproportionately costly compared with the alternative. Remedies are free, within a reasonable time and without significant inconvenience, taking the assistive purpose into account. A proportionate reduction or withdrawal is available under statutory conditions, particularly refusal or failure to remedy, repeated defects, substantial breach or evident inability to remedy promptly without significant inconvenience. Withdrawal is unavailable for a minor defect; the seller must prove it is minor.
Claims may be made through the seller’s contacts and at legally designated locations. State the product, defect, requested remedy and contact details. Purchase may be proven by credible means other than an original receipt. Neither original packaging nor our form is required.
We will issue written acknowledgement showing the date, complaint, requested remedy and contact details. A decision will be made immediately or, in complex cases, within three working days, excluding the legally permitted time needed for expert assessment. Consumer complaints, including remedy and notification, will be completed within 30 days unless a longer period is expressly agreed for the particular case. These terms do not provide blanket consent to an extension.
We will confirm the outcome, repair and duration or reasons for rejection. If the deadline expires without completion, the consumer may seek a proportionate reduction or withdraw. Necessary reasonable costs of a justified claim will be reimbursed. Statutory defect rights are distinct from any voluntary commercial guarantee, which will be specified separately.
9. Digital content and service defects
For goods with digital elements, liability also covers agreed digital functions and updates under the Civil Code. Where continuous digital supply is agreed for longer than two years, the longer agreed period applies to that digital supply.
For separate digital content or services, the customer may request conformity and, under statutory conditions, a proportionate reduction or termination. Remedy must be within a reasonable time and without significant inconvenience considering the supply’s nature and purpose. The special rules in sections 2389a et seq. of the Czech Civil Code take precedence; deadlines for tangible goods are not automatically applied to all digital supplies.
10. Distribution and business cooperation
A distribution enquiry starts discussions only. Territory, exclusivity, prices, minimum purchases, training, marketing, service, liability, duration and termination will be separately agreed. Neither the enquiry nor these terms creates such rights or duties.
Business buyers do not automatically have a consumer’s 14-day withdrawal right or consumer complaint deadline. Their defect rights follow their contract and applicable general law. Distributors selling to consumers remain responsible for their own legal obligations; no agreement may remove end consumers’ rights.
11. Complaints and dispute resolution
Complaints can be sent to the contacts above. If a consumer dispute cannot be resolved directly, the consumer may contact the Czech Trade Inspection Authority (ČOI), Central Inspectorate, ADR department, Gorazdova 1969/24, 120 00 Praha 2, using the ADR information and form. Applications must be made within one year of first asserting the disputed right against the seller. Access to the courts remains unaffected.
The European ODR platform closed in 2025 and is not offered as an available procedure. ČOI ADR covers consumer disputes, not disputes between businesses.
12. Personal data and final provisions
See the privacy notice for enquiries and communication. Enquiries do not require marketing consent. Image, sound and other data processing by the product will be explained separately before operation.
Czech law applies. This choice does not deprive consumers of mandatory protection under another law applicable under private international law. Statutory liability for harm and non-waivable consumer rights are not excluded.
Amended terms do not apply retroactively to existing contracts without valid agreement. The version supplied when contracting takes precedence unless a later change is lawfully agreed.
